A. General

The online magazine “Neve Tzedek Properties” (hereinafter: “Neve Tzedek Properties”) welcomes you for choosing to use the site and hopes that its use will meet your expectations. Before browsing the site, including performing any action such as commenting on an article, opening a blog, making a purchase, or participating in a game or other interactive activity, you should read the terms of use detailed below, as well as any specific terms of use if they exist. If you have any questions or uncertainties, we are at your disposal via email: office@nzp.co.il. The terms of use are written in feminine language for convenience but refer to all genders equally.

B. Terms and Definitions

The following terms shall have the meanings appearing beside them in these terms of use, unless expressly stated otherwise:

C. Information and Content on “Neve Tzedek Properties” Sites

  1. The information and content on “Neve Tzedek Properties” sites include original content first published on the site and/or content originating from third parties.
  2. The company strives for the information to be accurate, although inaccuracies and errors may occur, among other things due to technical malfunctions, human errors, and/or acts or omissions by the company and/or third parties. It is hereby clarified that the company will not be responsible for any direct or indirect damage caused to the user as a result of reliance on and/or use of the content and information published on the sites. Without derogating from the generality of the aforesaid, the lack of liability refers to information such as prices, price lists, maps, addresses, stock rates, exchange rates, use of search engines, advertisements, etc.
  3. The user is obliged to refer to additional information sources before performing any action that may lead to economic harm based on the content.
  4. In addition, the site contains content originating from third parties, including advertising content and links (links), comments, and forums (hereinafter: “Third-Party Content”).
  5. The surfer hereby declares that she knows that the company is not responsible for third-party content, including regarding copyrights, defamation, libel, violation of privacy, and information reliability. The sole responsibility will apply to the third parties or the user making use of them.

D. Copyrights and Intellectual Property

  1. All rights are reserved to the company. No part of the material displayed on this site, including its supplements, may be copied, translated, transmitted by any means, stored in a database, published, or distributed by any means.
  2. All intellectual property rights, including copyrights in the content, site design, and any software, application, graphic file, computer code, text, image, games, video clips, audio clips, and the external application—are the sole property of the company, unless expressly stated otherwise.
  3. No content mentioned above may be copied, distributed, publicly displayed, or used without obtaining the company’s prior written consent, including full or partial copying; use of trademarks or logos; archiving; translation; re-editing, etc., except for personal use.

E. Advertising

  1. The user agrees that the company may include advertisements on “Neve Tzedek Properties” sites, including through banner ads, promotional articles, or any other use the company deems appropriate, such as pop-up windows, audio advertising, video, etc.
  2. The user hereby agrees that the company shall be entitled to send from time to time promotional material to surfers who agreed upon registration to the site and/or at any other time to receive such material. For more details, see section XIII of the terms of use, “The Company’s Privacy Policy”.

F. Charging Fees

  1. The company provides the services and information on the site without charging a fee at this stage. However, the company reserves the right to charge fees for all or part of the services at its sole discretion.
  2. If the company decides to charge a fee as stated in section F(1) above, a notice will be posted on the site.

G. Information Provided by Surfers

  1. The company allows surfers to provide information and publish content, such as blog posts, comments on articles, forums (hereinafter: “User Content”).
  2. The user hereby undertakes that the User Content she will input is in accordance with all laws, including the absence of defamation, libel, copyright infringement, violation of privacy, or breach of a gag order.
  3. The user undertakes to bear responsibility regarding the User Content she has provided, thus excluding the company’s liability. Additionally, the user undertakes to indemnify the company for any claim, demand, damage, or loss that may result from non-compliance with the terms of use and/or violation of legal provisions and/or demands from any third party and/or erroneous publication, including legal expenses. The indemnification will be paid immediately upon the company’s first demand, without derogating from any other remedy available to the company by law.
  4. By performing the action of providing User Content to the site, the user explicitly declares that she holds all intellectual property rights in the content and, by providing the content to “Neve Tzedek Properties”, allows the company to make any use of the content, including publishing it, removing it from “Neve Tzedek Properties” sites, or publishing it in any other media directly or indirectly related to the company.

H. Use of Site Content and External Application

In the event that an external site to “Neve Tzedek Properties” wishes to make any use of the content as defined in these regulations, that site (hereinafter: “the Referring Site”) may make referrals and use the content in the manner described below:

  1. The Referring Site may use the content appearing on the site only through a referral, which will include a link to the full content on “Neve Tzedek Properties” sites, where the referral will be made by using the content title as it appears on “Neve Tzedek Properties” sites and/or in the external application, as detailed below, so that when the surfer clicks on the referral, a direct link will be created to the source content on “Neve Tzedek Properties” sites, without the Referring Site creating a frame or background or adding any addition to “Neve Tzedek Properties” sites or omitting any detail from them.
  2. For the avoidance of doubt, the referral will appear identical to how it appears as part of the content on “Neve Tzedek Properties” sites to which it refers, and no change shall be made to the referral, including correcting or editing the text, changing the computer code of the external application, changing the content or design of the external application, or any other change.
  3. The Referring Site shall prominently indicate next to the title appearing on its site the wording “Neve Tzedek Properties” and the “Neve Tzedek Properties” logo, which will link to the site’s homepage. For the avoidance of doubt, it is clarified that the use of the name “Neve Tzedek Properties” or the “Neve Tzedek Properties” logo does not grant the Referring Site any rights in these marks, except for the permission to use them next to the referral as specified above. In the case of using the external application, the Referring Site will display it in the exact design as received when downloading the external application from “Neve Tzedek Properties” sites, including colors, size, fonts, etc.
  4. The Referring Site will bear full and sole responsibility for all content published within it, including the title or image taken by it from the site. “Neve Tzedek Properties” will not be responsible in any way for any content published on the Referring Site. Without derogating from the aforesaid, the Referring Site shall not be entitled to save a title or image from the site and will display them only in the manner specified in these regulations.
  5. The Referring Site declares that in making use of the content as a referral as stated in these regulations and fulfilling its obligations under it, there is no infringement of any copyright, patent, trademark, trade secret, or any other intellectual property right of third parties, and that the content published within the Referring Site does not constitute defamation, publication of obscenity, or any publication prohibited by law, and that there is no legal or other impediment to fulfilling its obligations under these regulations.
  6. “Neve Tzedek Properties” will not be responsible in any way for materials published on the Referring Site and is not liable for any damage or change that may occur to the Referring Site, whether as a result of or unrelated to the use of the referral or the external application.
  7. Without derogating from the provisions of these regulations and any other remedy available to “Neve Tzedek Properties” under these regulations or by law, the Referring Site shall indemnify “Neve Tzedek Properties” upon its first demand, for any amount, expense, or damage that may be caused to it, including attorney fees and legal expenses, due to any claim, demand, or allegation filed against it regarding materials published on the Referring Site.
  8. “Neve Tzedek Properties” may at any time, at its sole discretion and without prior notice, make changes to the external application, provided that the content of the referral or the content of the external application as placed by the Referring Site does not change.
  9. The Referring Site undertakes not to transfer, assign, or delegate any of its rights under these regulations. It is clarified that the Referring Site will not transfer the external application to another site and will use it solely on the Referring Site.
  10. The validity of “Neve Tzedek Properties'” approval for the use of the referral as defined in these regulations is unlimited. Notwithstanding the aforesaid, “Neve Tzedek Properties” may at any time, at its sole discretion, discontinue its approval for displaying the referral, including blocking and preventing the creation and validity of the referral.

I. Malfunctions and Information Security

  1. The surfer declares that she is aware that circumstances may arise, whether under the company’s control or not, including server crashes, power outages, cyber-attacks, human errors, in which information may be lost or displayed partially or incorrectly, or browsing the site may not be possible, or details provided by her to the site may be stolen, and any other possible malfunction.
  2. The user declares that she is aware of the provisions in section I(1) above, recognizing the existing limitations on the internet, and undertakes not to sue or claim against the company or a third party for such events, and she waives any claim, demand, or lawsuit of this kind.

J. Changes to the Regulations

The company may, at its sole discretion, change from time to time the provisions of these regulations. If the change in the regulations is significant or pertains to personal information provided by the surfer, a notice will be posted on the “Neve Tzedek Properties” site.

K. Statute of Limitations

The user of the site agrees that any claim or demand against the company shall be limited to a period of six months from the date of its publication or appearance on the site, and the parties consider this an agreement to a limitation period as defined in section 19 of the Statute of Limitations Law, 1958, in light of the unique nature of internet site usage. For the avoidance of doubt, this provision shall prevail over any other legal provision.

L. Limitation of Liability

It is clarified that the user hereby releases the company’s managers, employees, officers, and shareholders from liability, and any limitation on the company’s liability and its managers also applies to limiting the liability of officers in the company and/or the parent company.

M. Jurisdiction and Applicable Law

Exclusive jurisdiction to adjudicate any matter and dispute arising from the use of the sites is granted solely to the competent court in Tel Aviv. The applicable law is Israeli law.

The surfer and/or user of “Neve Tzedek Properties” sites and their content agrees and confirms that she has read all the above, and that her mere entry to the site and/or creation of the referral and/or use of the content as stated in these regulations constitutes agreement to all the above, and the user or surfer shall have no claim, demand, or lawsuit against the company or anyone on its behalf regarding this.

Privacy Policy, Site Registration, and User Interaction

  1. The company may condition access to “Neve Tzedek Properties” sites, in whole or in part, upon registration that will include identifying details of the surfers and additional details at its discretion. The fields that must be filled will be explicitly indicated. If the user does not provide the data in the mandatory fields, she will not be able to browse the sites or parts of them, as the company may determine from time to time.
  2. The company may require the renewal of registration or details regarding it at its sole discretion.
  3. The company may, at its sole discretion, prevent access to “Neve Tzedek Properties” sites in case of unlawful use or any other misuse, unlawful harm, or false or negligent registration to one or more of the sites, without derogating from any other remedy available to the company by law.
  4. The data provided by the surfer during registration or when performing other actions on the site will be stored in the company’s database.
  5. The surfer is entitled by law to review her registered details in the database, request to correct the registration, or request its deletion from the database. If you wish to do so, please contact “Neve Tzedek Properties” via email: office@nzp.co.il.
  6. The company uses accepted information security technologies and operational procedures on its sites. However, there is no absolute prevention of unauthorized entry into databases, and the surfer hereby waives any claim or demand against the company in this matter, provided that the company has taken reasonable measures to prevent unauthorized entry.
  7. The company may use the database for the following purposes, and the surfer permits the company to perform the following actions:
    1. Send emails to the surfer that will include updates about the site, registration to the site, or other relevant details for browsing the site. The company, at its sole discretion, may also include promotional material in these messages;
    2. Send email editions of site content (newsletter) to surfers who agree to receive them. The company, at its sole discretion, may also include promotional material in these messages. The surfer may request to unsubscribe from this service by sending an email to: office@nzp.co.il;
    3. Send promotional material to surfers who agree to receive such material. The surfer may request to unsubscribe from this service by sending an email to: office@nzp.co.il;
    4. Conduct statistical research on browsing habits and characteristics by the company or on its behalf. These studies will not include personal details of the surfer;
    5. Customize the content or advertisements to which the surfer will be exposed while browsing the site;
    6. Allow the surfer to purchase products or services, participate in games, or other interactive activities;
    7. Perform any other use that is in accordance with the law or the surfer’s agreements during site registration, as the company deems appropriate.
  8. The company will not provide personal details such as the surfer’s name and home address to third parties, without derogating from its right to transfer other non-personal details such as “cookies”.
  9. The surfer declares that she knows that when performing actions related to site registration, the company may “plant” text files and software (called “cookies”) on her computer, which allow identifying the surfer while browsing the site. If the surfer wishes to delete the “cookies”, she should refer to the homepage of the company producing the browser (Explorer, Firefox, or others) and follow the detailed instructions there.
  10. The company occasionally operates advertising services with third parties and interactive advertising companies. The surfer hereby permits the company to transfer the accumulated data from the “cookies” to these companies.

Criminal and Civil Offenses

Users are prohibited from exploiting the site’s use to perform actions contrary to the law. It is forbidden to exploit the site’s use to support or disseminate any activity related to drugs, gambling, pornography, prostitution, child pornography, theft, distribution of computer viruses, cracking software or private computer networks, violation of permissions regarding software, illegal trade in credit cards, crimes, or other legal violations.

Users of the site are obligated to comply with the laws relating to defamation, writing, displaying, or transmitting inflammatory, threatening, racist material, or that uses obscene or threatening language. Any such material is prohibited.
